1. Agreement to Terms

By accessing or using EarTuna ("Service"), operated by Code Takova Ltd. ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Service Description

EarTuna is a web-based musical ear training platform that provides interactive drills and exercises to help users develop their musical listening and performance skills. The Service includes:

• Access to various ear training drills and exercises
• Progress tracking and performance analytics
• MIDI keyboard integration (hardware and virtual)
• Subscription-based premium features

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Email Verification

Users registering with credentials must verify their email address within 24 hours. Unverified accounts will be unable to access the Service. Users who register via OAuth providers (Google) are automatically verified.

5. Subscriptions and Payments

5.1 Subscription Plans

EarTuna offers subscription plans that provide access to premium features. Subscription details, including pricing and features, are displayed on our subscription page.

5.2 Billing

• Subscriptions are billed on a recurring basis (monthly or annually)
• Payment is processed through Stripe, our third-party payment processor
• You authorize us to charge your payment method for all subscription fees
• Subscription fees are non-refundable except as required by law

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings or by contacting support.

5.4 Cancellation

Upon cancellation, you will retain access to premium features until the end of your current billing period. No refunds will be provided for partial billing periods.

5.5 Price Changes

We reserve the right to modify subscription prices. We will provide at least 30 days' notice of any price increases. Continued use of the Service after a price change constitutes acceptance of the new price.

6. Refund Policy

All subscription fees are non-refundable. We do not offer refunds or credits for partial subscription periods, unused features, or if you decide to cancel your subscription before the end of your billing cycle.

7. User Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Use automated means (bots, scrapers) to access the Service without permission
• Impersonate any person or entity or misrepresent your affiliation
• Share your account credentials with others
• Reverse engineer, decompile, or disassemble any part of the Service

8. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, audio content, software, and drill exercises, are owned by Code Takova Ltd. and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes. This license does not include any right to resell or commercial use of the Service or its contents.

9. User Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of your data as described in the Privacy Policy.

You retain ownership of your user-generated data (progress records, drill results). We claim no ownership rights over such data. However, you grant us a license to use, store, and process this data to provide and improve the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODE TAKOVA LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES ARISING OUT OF:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or similar that may be transmitted through the Service by any third party

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12. Third-Party Services

The Service integrates with third-party services including:

• Stripe for payment processing
• Google OAuth for authentication

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

13. Modifications to Service

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

14. Changes to Terms

14.1 Notification of Changes

We may revise these Terms at any time. For material changes, we will notify you by:

• Email notification to your registered email address (at least 30 days before effective date)
• Prominent notice on the Service (banner or modal requiring acknowledgment)
• Updating the version number and effective date at the top of this page

14.2 Material Changes

Material changes include but are not limited to:

• Changes to pricing or billing terms
• Modifications to refund policy
• Changes to user rights or obligations
• Alterations to dispute resolution procedures
• Changes to service features or availability

14.3 Version History

Previous versions of these Terms are archived and available for review at /terms/versions.

14.4 Acceptance of Changes

Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may cancel your subscription.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Bulgaria.
